1. Acceptance of terms

By accessing or using the https://tinlance.com website or engaging Tinlance Limited ("Tinlance", "we", "us") for any services, you agree to be bound by these Terms of Service. If you do not agree, do not use our website or services.

2. Services

Tinlance provides software engineering, AI product development, cybersecurity tooling, and technical consulting services. All services are delivered under separate written agreements (contracts, statements of work, or retainer agreements). Submitting an enquiry via this website does not constitute a contract or commitment from either party. Engagements are formalised only through a signed agreement and accepted invoice.

3. Intellectual property

Unless otherwise agreed in a written contract:

  • Upon receipt of full and final payment, all custom-developed code, designs, and deliverables created specifically for a client become the property of that client.
  • Any pre-existing tools, frameworks, libraries, or proprietary methodologies used during delivery remain the intellectual property of Tinlance or their respective owners.
  • Open-source components remain subject to their respective licences.
  • Tinlance retains the right to reference the engagement (not the code or confidential details) for portfolio and marketing purposes unless a Non-Disclosure Agreement (NDA) states otherwise.

4. Payment terms

All fees are stated in USD unless otherwise agreed. Payments are due by the date stated on the invoice. Tinlance reserves the right to suspend work on any engagement where payment is 14 or more days overdue.

Refund and cancellation policy

  • Deposits: Non-refundable once work has commenced.
  • Milestone payments: Non-refundable once the corresponding milestone has been delivered and accepted.
  • Retainer fees: Unused hours in a retainer month are non-refundable but may be carried forward at Tinlance's discretion if requested in writing before month-end.
  • Cancellation: Either party may terminate a project engagement with 14 days' written notice. The client is liable for all work completed and expenses incurred up to the date of termination.
  • ThreatFade subscriptions: May be cancelled at any time. No refunds are issued for partial subscription periods.

5. Confidentiality

Both parties agree to keep confidential any non-public information received from the other party during an engagement. This obligation survives termination of the engagement for a period of 3 years. Where a separate NDA is signed, those terms take precedence.

6. Limitation of liability

To the maximum extent permitted by applicable law, Tinlance's total liability to you for any claims arising from our services shall not exceed the total fees paid by you to Tinlance in the 3 months preceding the claim. Tinlance shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, data, or business opportunities, even if advised of the possibility of such damages.

7. Warranties and disclaimers

All services are provided "as is" and "as available". While Tinlance makes every reasonable effort to deliver high-quality work, we do not warrant that software will be error-free or uninterrupted. This website is provided for informational purposes; the content does not constitute professional legal, financial, or security advice.

8. Acceptable use

You may not use this website or our services to: violate any applicable law or regulation; infringe any intellectual property rights; transmit malware or harmful code; engage in unauthorised access to any computer system; or harass or harm any person. Tinlance reserves the right to refuse service to anyone at any time.

9. Governing law

These terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts of Nigeria, unless otherwise agreed in a separate written contract.

10. Changes to these terms

We may update these terms at any time. Continued use of this website or our services after changes are posted constitutes acceptance of the updated terms. The "Last updated" date at the top of this page indicates the most recent revision.
